This website and the services offered are operated by VICS Solutions LLC, a limited liability company organized under the laws of the United States of America (in the process of incorporation at the time of publication), hereinafter referred to as “VICS Solutions”.
Until the legal entity is formally incorporated, the activities may be carried out by its founder or duly designated representative.
Access to the website and/or the contracting of any of the services implies full, express, and unconditional acceptance of these Terms and Conditions.
If the User does not agree with these terms, they must refrain from using the website or contracting the services.
VICS Solutions provides services related to the implementation, automation, and optimization of digital systems powered by artificial intelligence, including, but not limited to:
CRM implementation and configuration
Automation and workflow development
Conversion funnels
Integration with Stripe, Inc.
Email and SMS marketing
Membership systems
Recurring billing
Database reactivation and data base engagement recovery
Dashboards and reporting systems
Comprehensive automation strategy development
The services are offered through different packages (Starter, Advanced, and Premium) and are formalized through an individual service agreement with each client.
VICS Solutions provides services under an obligation of means rather than an obligation of results.
The following is not guaranteed:
Increase in sales
Specific profitability outcomes
Return on investment (ROI)
Minimum conversion rate
Predetermined commercial growth
The final performance depends on multiple external factors beyond the control of VICS Solutions, including but not limited to:
Quality of the client’s product or service
Market competition
Economic conditions
Internal client management
Algorithm or platform changes
The client agrees to the following:
One-time initial implementation payment.
Monthly recurring payment for maintenance and operational services.
Mandatory minimum contract term of three (3) months.
Advance payments.
Non-refundability once the service has commenced.
Automatic suspension in case of payment default.
Late payment surcharge in case of payment delay.
Payments may be processed through Stripe, Inc. or other third-party payment platforms.
The main account of the CRM system used (GoHighLevel) is owned and controlled by VICS Solutions.
The Client:
Will be granted limited access to its designated subaccount.
May request data migration upon contract termination.
Shall not acquire ownership rights over the system architecture, workflows, or structural design.
The client shall not replicate, resell, or transfer the developed system.
VICS Solutions is not the owner of the GoHighLevel software and shall not be held responsible for technical failures of the platform.
The following are the exclusive property of VICS Solutions:
Funnels
Automation architecture designs
Base workflow structures
Methodology
Technical structures
Strategic scripts and configuration setups
The Client shall be the sole owner of:
Its brand
Its own content
Its database
Materials provided by the Client
The following is expressly prohibited:
Reverse engineering
Copying the system for third parties
Resale of the model
Use of the architecture outside the contractual framework
The total liability of VICS Solutions, under any circumstance, shall be limited to the amount actually paid by the Client during the three (3) months immediately preceding the event giving rise to the claim.
In no event shall VICS Solutions be liable for:
Indirect damages
Loss of profits (lost profit)

Reputational damages
Failures of external platforms
Algorithm changes
Technological interruptions
Commercial decisions made by the Client
VICS Solutions shall not be held liable for any failures or interruptions arising from:
GoHighLevel
Stripe
Meta
Twilio
Hosting service providers
Email service providers
Third-party platforms
The Client agrees to indemnify and hold harmless VICS Solutions from and against any claims, penalties, or damages arising from:
misuse of data or databases
The Client’s own regulatory non-compliance
Deceptive advertising
Violation of third-party rights
Unlawful activities
Both parties shall keep confidential any strategic, technical, and commercial information exchanged between them.
VICS Solutions may suspend or terminate the service immediately in the event of:
Non-payment
Unlawful use of the system
Intellectual property infringement
Material breach of the agreement
VICS Solutions may modify its fees upon reasonable prior notice.
VICS Solutions shall not be liable for any failure to perform due to events beyond its reasonable control.
This Agreement shall be governed by the laws of the Argentine Republic.
Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the ordinary courts of the City of Córdoba, Argentina, and the parties hereby waive any other venue or jurisdiction.
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
